LANDLORD'S CONSENT.

SUBLETTING.

LEAD-BASED PAINT.

LIABILITY. The Subtenant agrees to surrender and deliver to the Tenant the property, including all furniture, appliances, and decorations within the property, in the same condition as they were at the beginning of the lease period, with reasonable wear and tear excepted. The Subtenant is liable to the Tenant for any damages occurring to the property, either by deducting from the security deposit or billing separately. All actions conducted by any guests of the Subtenant are the responsibility and liability of the Subtenant.
NO AUTHORITY. The Subtenant has no authority to contact or make any agreement with the Landlord about the premises of the Master Lease. The Subtenant may not pay rent or other charges to the Landlord, but only to the Tenant.
MASTER LEASE. This Agreement must follow and is subject to the original lease agreement between the Tenant and landlord, a copy of which has been attached and is hereby referred to and incorporated as if it were set out here at length (“Master Lease”). The Subtenant agrees to assume all of the obligations and responsibilities of the Tenant under the Master Lease for the duration of the Agreement. All disclosures and statements required by the state and listed in the Master Lease are made part of this Agreement and, when attached, will be considered disclosed to the Subtenant in accordance with state and local laws.
DISPUTES. If a dispute arises during or after the term of this Agreement between the Tenant and Subtenant, they agree to negotiate amongst themselves first.
WRITTEN AGREEMENT. This Agreement constitutes the sole agreement between the Tenant and Subtenant with no additions, deletions, or modifications that may be accomplished without the written consent of both parties. Any oral representations made at the time of executing this lease are not legally valid and, therefore, are not binding upon either party.
GOVERNING LAW. This Agreement is bound to the laws located in the State of New York where the property is located.
SEVERABILITY. If any term, covenant, condition, or provision of this Agreement is held by a court of competent jurisdiction to be invalid, void, or unenforceable, the remainder of the provisions will remain in full force and effect and in no way be affected, impaired, or invalidated.
SUCCESSORS. Unless otherwise stated, this Agreement is binding on all parties who lawfully succeed to the rights or take the place of the Tenant or the Subtenant. Examples are an assign, heir, or legal representative such as an executor of your will or administrator of your estate.
ADDITIONAL TERMS & CONDITIONS. No additional terms set.
CHANGES. This Agreement can be changed only by an agreement in writing signed by the parties of this Agreement.
DISCLAIMER. This Agreement was generated by Atlas for the convenience of the Subtenant and Tenant. Atlas is not a party to this agreement and bears no liability for any disputes, disagreements, or legal actions that may arise from its use. By using this Agreement, both the Subtenant and Tenant acknowledge and agree that Atlas has no obligation to enforce the terms and conditions set forth in this Agreement. The responsibility for ensuring compliance with all terms rests solely with the Subtenant and Tenant. The Parties agree to indemnify and hold harmless Atlas from any and all claims, demands, damages, losses, liabilities, costs, and expenses (including legal fees) arising out of or related to this Agreement.
ENTIRE AGREEMENT. This Agreement contains the entire agreement of all parties on these matters, superseding any previous agreement between them.
CANCELLATION. Notwithstanding any other provision of the Agreement, the Tenant shall have the right for any reason to terminate this Agreement upon 30 days notice to the Subtenant. Said notice may be served by delivery to the Subtenant by overnight mail or personal delivery to the Subtenant. If the Agreement is terminated pursuant to the provisions of this paragraph, then the Subtenant shall vacate by the date set forth in said Notice (the "Vacate Date") and if the Subtenant fails to vacate by the Vacate Date, then in addition to all other remedies, the Tenant shall be entitled to recover all legal fees incurred in enforcing these terms, including reasonable attorneys fees and costs. In addition, the Subtenant shall be liable for use and occupancy in the amount of $250 per day for each day after the Vacate Date until the Tenant recovers possession of the apartment.
ELECTRONIC SIGNATURES. This Agreement may be executed in one or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. This Agreement may be executed and delivered by facsimile or electronic signature and upon such delivery, the facsimile or electronic signature will be deemed to have the same effect as if the original signature had been delivered to the other party.
